1. Introduction

Welcome to Ogeeda. These Terms of Service ("Terms") govern your use of the Ogeeda mobile application and web platform ("Service").

Service Provider: Ogeeda is operated by John Cedrick Bermejo, an individual sole proprietor based in Molave, Zamboanga del Sur, Philippines.

By creating an account or using Ogeeda, you agree to these Terms.

2. License Grant

Ogeeda grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App strictly in accordance with these Terms. You do not own the software; you are licensing the right to use it.

2.1 Mobile Application License

This Agreement serves as the End User License Agreement (EULA) for the Ogeeda mobile application.

For iOS Users (Apple App Store)

This EULA is between you and Ogeeda — not Apple Inc. Apple has no obligation to provide maintenance or support for this app. In the event of any failure to conform to a warranty, you may notify Apple for a refund of the purchase price (where applicable); Apple has no other warranty obligation.

Ogeeda, not Apple, is responsible for: (i) any product liability claims arising from the app; (ii) any claim that the app fails to conform to applicable legal or regulatory requirements; and (iii) any third-party intellectual property infringement claims related to the app. Apple is not responsible for any such claims.

Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance, Apple has the right to enforce this EULA against you as a third-party beneficiary.

You represent that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government prohibited or restricted party list.

For Android Users (Google Play)

By downloading from Google Play, you also agree to Google Play's Terms of Service. In-app purchases are processed by Google Play.

3. Your Account

  • Security: You are responsible for keeping your login credentials secure.
  • Access: Do not share your account password or access tokens with anyone else.
  • No Reselling: You may not sell, resell, rent, lease, or sublicense your account access to any third party.

Multi-User Accounts & Invite Codes

Ogeeda supports multiple user roles within a single organization: Business Owner, Manager, Staff, Driver, and Affiliate. When you invite other users to your organization via an invite code, the following applies:

  • You, as the organization owner, are responsible for all actions taken by users you invite.
  • By using the Service, invited users also agree to these Terms.
  • You are responsible for revoking access for any user who leaves your organization or should no longer have access to your data.
  • All data entered by your team members (bookings, customer records, etc.) is owned by your organization account.

Affiliate Role & Vehicle Outsourcing

The Affiliate role enables commission-based partnerships between organizations and external parties for outsourced vehicle bookings. Affiliates are assigned on a per-booking basis. When an affiliate is added to an organization, the following applies:

  • Two-Way Outsourcing: Outsourced bookings support two commission models. When the affiliate owns the vehicle, the affiliate receives the revenue and the business takes a commission. When the business outsources a booking to an affiliate, the business retains the revenue and the affiliate takes a commission.
  • Commission Tracking: Commission rates may be set as a percentage or a fixed amount, and can be configured per booking by the organization. The ownership direction and commission split are recorded on each booking.
  • Limited Access: Affiliates can only view bookings and commission reports for bookings they are assigned to. They cannot access other organization data such as customer records, financials, or unrelated bookings.
  • Data Ownership: All booking and transaction data remains owned by the organization. Commission records are shared with the affiliate for reporting purposes.

Offline Access: The app caches your business data locally on your device to support offline functionality. You are responsible for the physical security of your device.

4. Acceptable Use

You agree not to:

  • Hack or Abuse: Attempt to bypass our security systems, access data that doesn't belong to you, or overload our servers.
  • Reverse Engineer: Try to copy our source code or build a competitive product using our internal APIs.
  • Scrape: Use automated bots or scripts to collect data without permission.
  • Commercial Exploitation: Use the service for any purpose other than managing your fleet rental business operations.

4.1 Content You Upload (Photos & Attachments)

You may attach photos to your records (vehicles, customers, payments, and handovers). You are solely responsible for this content, and you agree that:

  • Rights & Consent: You have all rights, permissions, and consents necessary to upload each image — in particular any photo of or relating to your customers or other individuals, which constitutes their personal data. You are the data controller for this content; Ogeeda hosts and processes it on your behalf.
  • Prohibited Content: You will not upload content that is unlawful, infringing, or that you lack the right to store or share.
  • Publishing Publicly: If you choose to mark a vehicle or customer photo as public, it becomes accessible to anyone via your Public API, including unauthenticated parties. You are solely responsible for obtaining any consent required to publish such images (especially customer images) and for compliance with applicable privacy laws. Payment and handover photos can never be made public.
  • Business Logo: If you upload a company logo, it is hosted on a permanent, public (unauthenticated) URL so it can appear in your invoices, receipts, automated emails, and shared booking pages — meaning anyone with the link can view it. Do not upload a logo containing private or third-party content you do not have the right to display publicly.
  • License to Operate: You grant Ogeeda a limited license to store, process, and serve these images solely to provide the Service — including serving them publicly where you have chosen to publish them.
  • Removal: Ogeeda may remove content that violates these Terms. You can delete your uploaded images at any time.

4.2 Automated Customer Emails

Ogeeda can automatically email your customers as their bookings change status (for example: requested, confirmed, started, completed, cancelled, or rejected, and pickup reminders). This feature is available on the Suite plan, is off by default, and is sent only when you enable it. By turning it on, you agree that:

  • Authorization: You authorize Ogeeda to send these emails to your customers on your behalf through our email provider. They are sent from a bookings@ogeeda.com address, branded with your business details and logo, with replies directed to your organization's contact email.
  • Your Recipients & Content: You are responsible for the customer email addresses in your records and for the content of your email templates. You must have a lawful basis to email each recipient and must comply with all applicable anti-spam and electronic-communication laws in your and your customers' jurisdictions.
  • Control: You can disable automation entirely, or switch off any individual email type, at any time in your settings. Disabling stops future sends; it does not recall emails already delivered.
  • Delivery "As Is": Email delivery depends on third-party providers and your recipients' mail systems. We do not guarantee that any email will be delivered, and we are not liable for non-delivery, delay, or misdelivery.

5. Intellectual Property & Feedback

  • Our Work: The Ogeeda software, design, code, and branding are owned by John Cedrick Bermejo, operating as Ogeeda. All rights reserved.
  • Your Data: You own the data you create in Ogeeda (vehicles, customers, bookings, etc.). You grant us a limited license to host and process this data solely to provide the Service to you.
  • Your Suggestions: Any feedback or suggestions you provide may be used by Ogeeda without obligation or compensation to you.

6. Payments and Subscriptions

  • Subscription Management: We use RevenueCat to manage subscriptions. Payment is processed by Apple App Store (iOS) or Google Play Store (Android).
  • Auto-Renewal: Paid subscriptions (Pro and Suite) are automatically renewed at the end of each billing period (monthly or annually, as selected) until you cancel. The subscription price and billing period are displayed before you confirm your purchase. By subscribing, you authorize the platform (Apple or Google) to charge your payment method at the start of each renewal period.
  • Billing Info: We do not store your credit card information. All financial transactions are secured by the respective platform.
  • Cancellation: You may cancel at any time through your device settings:
    • iOS: Settings → Apple ID → Subscriptions → Ogeeda → Cancel Subscription
    • Android: Google Play → Payments & Subscriptions → Subscriptions → Ogeeda → Cancel
  • After Cancellation: Access to premium features continues until the end of your current billing period. Your account then downgrades to the free Starter plan. Your data is retained, but records that exceed Starter plan limits (e.g., vehicles, customers, staff) will be deactivated and inaccessible until you resubscribe to a higher plan.
  • Refunds: No partial refunds for unused portions of a billing cycle. Refunds are subject to the policy of the platform you subscribed through (Apple or Google).
  • Subscription Tiers: Different subscription plans (Starter, Pro, Suite) unlock different feature limits, including maximum vehicles, customers, staff members, garages, affiliates, expenses, pricing groups, and AI extraction usage, as well as access to features such as financial reports, invoice and receipt generation, logo and photo uploads, automated customer booking emails, the audit log viewer, and the Public API. Current tier limits and pricing are displayed within the app. We reserve the right to update tier features and pricing with reasonable notice.
  • AI Auto-Fill Usage Limits: The AI Auto-Fill feature is available on Pro and Suite plans only. Usage is subject to a daily extraction limit based on your plan tier. Limits reset at midnight UTC each day. Unused extractions do not roll over. Ogeeda reserves the right to adjust these limits with notice.
  • Automated Processing: The Service uses automated background processes to deliver booking reminders, overdue return alerts, and subscription status updates. These processes run on our serverless infrastructure and act on data within your organization only.
  • Meta Business Chat (Suite Plan Only): This feature is not yet generally available; the terms below apply once it is enabled for your organization. The Meta Business Chat feature allows you to connect your Facebook Page or Instagram account so that customer messages are handled by an AI-powered assistant. By enabling this feature, you agree to the following:
    • You authorize Ogeeda to receive and respond to messages sent to your connected Facebook Page or Instagram account on your behalf using automated AI responses.
    • You are responsible for complying with Meta Platform Terms, Meta Messaging Policy, and any applicable Meta developer policies when using this feature.
    • You must ensure your AI greeting template or initial response clearly discloses to customers that they are interacting with an automated AI assistant, not a human.
    • You are responsible for monitoring conversations and taking over from the AI when necessary. The human takeover feature is provided for this purpose.
    • You may disconnect the integration at any time, which will revoke Ogeeda's access to your page messaging and delete stored access tokens.
    • Ogeeda reserves the right to disable the feature for your organization if it detects misuse, policy violations, or excessive error rates.

7. API Access & Webhooks

The Public API and webhooks (available on Suite plans) let you integrate Ogeeda with your own systems using API keys and webhook endpoints. If you use these features, the following additional terms apply:

  • License & Scope: We grant you a revocable, non-exclusive, non-transferable license to access the Public API solely to integrate your own organization's data with your own systems. Each API key is limited to the scopes (for example, reading fleet, reading clients, or creating bookings) and IP restrictions you assign. You may not use the API to access data that does not belong to your organization or to build a competing product.
  • Key Security: API keys are credentials. The secret portion is shown only once at creation and stored only as a hash — we cannot recover it for you. You are solely responsible for keeping your keys confidential and for all activity performed with them. If a key is compromised, you must revoke it immediately. We are not liable for any loss arising from a leaked, shared, or misused key.
  • Rate Limits & Fair Use: API usage is subject to rate limits and fair-use thresholds. We may throttle, suspend, or revoke API access — for a key or for your organization — if we detect excessive usage, abuse, security risk, or any violation of these Terms, with notice where reasonably practicable.
  • Webhooks & Data Export: When you register a webhook endpoint, Ogeeda sends event payloads — which may include booking and customer personal data — to the external URL you specify. You are the controller of any data delivered to your endpoint and are solely responsible for securing that endpoint, for the downstream use of the data, and for compliance with applicable data protection laws. You must verify each payload's signature before trusting it.
  • Auto-Confirmation: If you enable automatic confirmation of externally created bookings, you accept responsibility for bookings confirmed through the API without manual review. You are responsible for the accuracy and legitimacy of data submitted through the API.
  • No SLA; Changes: The API and webhook delivery are provided "as is" with no guaranteed availability, latency, or delivery. Failing endpoints may be automatically disabled after repeated failures. We may add, change, deprecate, or remove API endpoints, events, scopes, or fields with reasonable notice, and we are not liable for any disruption to your integrations resulting from such changes.

8. Termination

We may suspend or delete your account if you violate these Terms. We will make reasonable efforts to notify you, unless your actions pose immediate risk to our systems or other users.

9. Disclaimers & Limitation of Liability

Platform Only: Ogeeda is a software provider that helps you manage your fleet rental business. We are NOT a car rental agency, nor are we a party to any rental agreement, transaction, or dispute between you and your customers. We are not liable for any vehicle damages, stolen assets, unpaid rentals, or any other loss arising from your business operations.

Service "As Is": The Service is provided "as is" and "as available." We cannot guarantee that Ogeeda will always be 100% available, secure, or error-free.

AI Auto-Fill Accuracy: The AI Auto-Fill feature uses artificial intelligence to extract booking information from photos or text. AI-extracted results may be incomplete, incorrect, or misinterpreted. You are responsible for reviewing and confirming all AI-suggested data before saving a booking. Ogeeda is not liable for any errors, losses, or disputes arising from reliance on AI-generated output.

Invoice & Receipt Documents — For Reference Only: The invoice and receipt generation feature is provided as a convenience tool for business record-keeping and customer communication only. Documents generated by Ogeeda are not officially tax-registered invoices or receipts and do not satisfy the requirements of any tax authority, revenue agency, or regulatory body in any jurisdiction. You are solely responsible for complying with all applicable tax laws and regulations in your country or region, including any requirements for issuing officially registered tax documents. Ogeeda makes no representation that generated documents are legally sufficient for any tax, audit, regulatory, or accounting purpose, and is not liable for any penalties, assessments, or losses arising from your use of these documents.

Exported Data: The financial report export feature generates files on your device that may contain personal data from your business records, including customer names, phone numbers, and email addresses. Once exported, you are solely responsible for how this data is stored, shared, and protected. Ogeeda has no control over exported files and is not liable for any unauthorized access, disclosure, or misuse of data after export. You must ensure that your handling of exported data complies with applicable data protection laws in your jurisdiction.

Meta Business Chat — AI Responses: The Meta Business Chat feature uses artificial intelligence to respond to customer messages on your connected Facebook Page or Instagram account. AI-generated responses may be inaccurate, incomplete, or contextually inappropriate. You are responsible for monitoring conversations and intervening when necessary. Ogeeda is not liable for any booking errors, customer misunderstandings, lost business, reputational harm, or disputes arising from AI-generated responses sent to your customers. Draft bookings created by the AI assistant require your review and confirmation before they become active. Pricing and availability information provided by the AI is based on your current data and may not reflect real-time changes.

Meta Business Chat — Third-Party Platform: The Meta Business Chat feature relies on Meta Platforms' APIs and infrastructure. Ogeeda is not responsible for any downtime, message delivery failures, API changes, policy changes, or account restrictions imposed by Meta. You are solely responsible for maintaining your Facebook Page and Instagram account in good standing with Meta's policies.

Affiliate Commissions: Commission calculations displayed in the app are for informational and record-keeping purposes only. Whether the affiliate owns the vehicle or the business outsources a booking to the affiliate, Ogeeda does not process, hold, or transfer any commission payments between parties. All financial settlements are conducted independently outside of the platform. Ogeeda is not liable for any disputes regarding commission amounts, revenue splits, payment timing, or non-payment between organizations and their affiliates.

Payment Records: The payment tracking feature lets you record customer payments against a booking for your own bookkeeping. Ogeeda does not process, hold, transfer, or settle any customer payment, and is not a payment processor or escrow service. Recorded amounts, methods, reference numbers, and review statuses are entries you create. Ogeeda is not liable for any discrepancy, error, fraud, chargeback, or dispute relating to payments between you and your customers.

Cash Accounts & Ledger: The accounts ledger feature lets you organize recorded payments and expenses into cash accounts or wallets and designate a person who holds each one ("held by"). Balances shown are derived from the payment and expense entries you create — Ogeeda does not hold, custody, move, or reconcile any actual funds, and is not a bank, e-wallet, payment processor, or escrow service. You may fix a mistaken manual entry by undoing a recent entry or posting a reversing entry; corrections are recorded for audit purposes and do not alter the underlying payment or expense records. Ogeeda is not liable for any discrepancy, shortfall, loss, theft, or dispute relating to cash handling between you, your staff, or any person you designate as holding an account.

Vehicle Handover & Charges: Checkout and return readings (odometer, fuel, inspection notes) and any charges derived from them (fuel, distance, damage, late return, cleaning, or manual charges) are records you create and amounts you choose to apply. Calculations shown in the app are for informational and record-keeping purposes only. Ogeeda does not collect, hold, or enforce any charge, and is not liable for any dispute over vehicle condition, mileage, fuel, damage assessment, or charge amounts between you and your customers.

API Access & Webhooks: The Public API and webhooks are provided "as is" with no guaranteed availability, latency, or delivery. You are solely responsible for the security of your API keys, for any system you grant access to, and for any endpoint you configure to receive webhook data. Ogeeda is not liable for any loss, breach, or misuse of data arising from compromised keys, from data delivered to your webhook endpoints, or from changes to or deprecation of the API.

To the maximum extent permitted by applicable law, Ogeeda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

10. Governing Law & Disputes

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall first be resolved through good-faith negotiation (30 days), then mediation or the appropriate courts in the Philippines.

11. Changes to Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email to your registered address. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.

12. General

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Failure to enforce any provision does not waive our right to enforce it in the future.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ogeeda regarding this Service.
